They are both mildew resistance, waterproof and remain flexible. Silicone sealant has absolutely no business being used anywhere on a boat, so neither. There might be some UV inhibitors involved in marine grade, but I dont know that for sure.
yes it is true that 5200 will cure while underwater. however, if splashed before fully cured, it is subject to being washed out of the joint depending on the location.
Should I apply new silicone sealant over an old sealant? Never apply new silicone sealant over old sealant as, in most cases, the old sealant would have fallen away or split meaning that, no matter how much new sealant you apply, the leak will persist.

5200 is used for permanent bonding, 4200 is used for bonding when item may need to be removed or replaced in the future, (Transducers,thru hulls, ect.). Mounting a B256 thru hull on a fairing block use 4200 as it will set as a rubber seal.
